Hereinafter referred to as HAPPY CREW S.R.L. or Controller
invites you to carefully read these general terms and conditions of sale.
1. DEFINITIONS
1.1
HAPPY CREW S.R.L.: the company that owns the website www.happycrew.it and operates the “Happy Crew” platform.
User: any individual who accesses and uses the site.
Consumer: a natural person who purchases for personal and non-professional purposes.
Supplier: a third-party entity that provides goods or services to HAPPY CREW S.R.L., which are then resold to the User.
Products: physical goods, digital items, or services that can be purchased through the Platform.
Platform: the e-commerce portal www.happycrew.it and related channels managed by HAPPY CREW S.R.L.
General Conditions: this document governing the sale of Products by HAPPY CREW S.R.L. to Consumers through the Platform.
2. PURPOSE OF THE GENERAL CONDITIONS
2.1 These General Terms and Conditions of Sale and Use govern the terms and methods by which HAPPY CREW S.R.L. offers Products and/or Services for sale through the Platform, as well as the rights and obligations of Users purchasing as Consumers.
In particular, these Conditions regulate:
access, navigation, and use of the Platform by the User;
the methods for concluding the purchase contract between HAPPY CREW S.R.L. and the Consumer;
rules related to orders, payments, shipping, returns, and refunds;
conditions relating to the right of withdrawal, product conformity warranty, and Controller liability;
privacy protection and personal data processing pursuant to Regulation (EU) 2016/679 (GDPR);
applicable law and competent court for any disputes.
2.2 By accessing the Platform and/or making a purchase, the User fully accepts these General Conditions, which form an integral and substantial part of the sales contract between the Consumer and HAPPY CREW S.R.L.
2.3 If the User does not accept these Conditions or any other notice, legal disclaimer, or policy published or referenced herein, they may not use the Platform or its services.
3. AMENDMENTS TO THE GENERAL CONDITIONS
3.1 HAPPY CREW S.R.L. reserves the right to amend, update, or supplement these General Conditions at any time due to regulatory, technical, commercial, or organizational reasons. Users are encouraged to periodically consult the updated version of the General Conditions, always accessible through the Platform.
3.2 The amendments will take effect from the time of their publication on the Platform, with indication of the latest update date. The updated Conditions will apply only to purchases made after their publication.
3.3 For each purchase made, the Conditions in force at the time of order completion will continue to apply, regardless of any subsequent changes.
4. ACCESS, NAVIGATION AND USE OF THE PLATFORM
4.1 Access to and use of the Platform are permitted exclusively for personal purposes and in compliance with applicable laws, public order, decency, and these General Conditions.
The User is prohibited from:
engaging in any activity that may compromise the security, availability, functionality, or integrity of the Platform;
using the site for unlawful purposes or in a way that may harm HAPPY CREW S.R.L., its Suppliers, other users, or third parties;
accessing, attempting to access, or interfering with restricted sections of the site, IT systems, or unauthorized databases.
4.2 Access to the Platform is free, except for normal connection costs applied by the User’s internet service provider.
5. REGISTRATION AND PURCHASE REQUIREMENTS
5.1 To purchase Products available on the Platform, the User must register by creating a personal account, providing complete, truthful, and updated information.
5.2 Purchases are allowed exclusively to Users who are onboard a ship that docks at one of the ports indicated as “delivery points” on the website. The User declares under their own responsibility that they meet this condition at the time of ordering. HAPPY CREW S.R.L. reserves the right to request proof of boarding before delivery.
5.3 The User is required to:
carefully protect login credentials (username and password);
not share credentials with third parties;
promptly update their information when necessary.
5.4 The User guarantees that the personal data provided during registration is complete and truthful, and agrees to hold the Controller harmless from any damage, liability, or sanction arising from the violation of registration rules or credential management.
6. PURCHASE PROCEDURE
6.1 All Products offered through the Platform are described in detail on the respective product pages (quality, features, availability, price, delivery time and costs, supply times, additional charges, etc.). Availability indicated on the Platform is for reference only and not binding. Minor errors, inaccuracies, or variations between what is published and the actual Product may occur. Product images are illustrative and not contractually binding.
6.2 The purchase order sent via the Platform constitutes a binding contractual offer by the User under Article 1326 of the Italian Civil Code. The sales contract is finalized only upon acceptance by HAPPY CREW S.R.L., which occurs with the order confirmation email sent to the User.
6.3 To ensure timely processing and delivery of Products, orders must be placed no later than 11:59 PM (midnight) two calendar days before the ship docks at the selected port. Orders received after this deadline may not be guaranteed for delivery on the selected date and may be cancelled, postponed, or managed differently, with notice from HAPPY CREW S.R.L.
6.4 The User will receive an automatic order summary email for information purposes only. It does not constitute acceptance of the order.
6.5 HAPPY CREW S.R.L. reserves the right, at its sole discretion, to accept or reject an order, even after confirmation, in the event of:
product unavailability;
errors in prices, descriptions, or technical information;
incomplete or invalid orders;
organizational, logistical, or security reasons;
failure to meet the purchase requirements under Article 5.
In such cases, HAPPY CREW S.R.L. will notify the User via email and, if payment has been made, will refund the full amount using the original payment method without additional charges or liability.
7. AVAILABILITY AND REFUNDS
7.1 All Products on the Platform are offered within the limits of actual availability, based on Supplier communications and system updates.
7.2 If any or all of the ordered Products become unavailable, HAPPY CREW S.R.L. will automatically cancel the unavailable items and notify the Consumer promptly via email. There is no provision for backorders or waiting for restocking.
7.3 If the User has already paid for the cancelled Products, HAPPY CREW S.R.L. will refund the corresponding amount within ten (10) days, using the same payment method used for the purchase.
7.4 HAPPY CREW S.R.L. assumes no responsibility for the unavailability of Products or for any resulting damages or inconveniences caused by partial or total order cancellations.
8. DELIVERY OF PRODUCTS
8.1 Products purchased are delivered exclusively ship-side at the vessel on which the User is embarked, at one of the authorized ports available on the Platform and selected during checkout.
8.2 The User is responsible for:
correctly selecting the port of call at the time of purchase;
ensuring their presence onboard the ship at the time of docking;
being available to collect the Products according to the instructions provided by HAPPY CREW S.R.L. or its agents.
8.3 Delivery will take place in accordance with the port’s operational conditions and disembarkation schedules, in the manner and location specified by HAPPY CREW S.R.L. HAPPY CREW S.R.L. and its agents are not required to make deliveries outside the port perimeter or outside the specified day/time.
8.4 In the event of missed docking, errors in the information provided by the User, or inability to deliver due to reasons not attributable to HAPPY CREW S.R.L., the order may be canceled and refunded, or postponed to the next available opportunity, subject to agreement with the User.
8.5 Upon collection, the User must verify:
that the delivered items match the order;
the integrity of the packaging and the external condition of the Product.
8.6 If there are visible damages, tampering, or clear discrepancies, the User has the right to refuse delivery and must immediately report the issue to the agent and HAPPY CREW S.R.L. In this case, the Product will be collected at no cost to the User and may be replaced or refunded in accordance with applicable regulations.
8.7 Once the delivery document is signed or the Product is accepted without reservations, the User may no longer raise objections regarding the external characteristics of the Products received.
8.8 If the User fails to collect the Products at the time of delivery for reasons attributable to them (e.g., incorrect port selection, absence onboard, unreachability, unjustified refusal), HAPPY CREW S.R.L. reserves the right to:
a) cancel the order without any refund obligation for Products that cannot be resold;
b) store the goods and attempt a second delivery, if possible, subject to agreement with the Consumer, with an additional charge of €10.00 or 3% of the total order value (whichever is higher);
c) if the User fails to contact HAPPY CREW S.R.L. within 24 hours of the failed delivery to reschedule pickup, the company reserves the right to dispose of or abandon the goods, especially if they cannot be resold. In such cases, no refund will be issued, and the full amount paid will be retained as a flat penalty.
For non-perishable Products, HAPPY CREW S.R.L. may withhold up to 30% of the Product’s value to cover expenses, refunding the remainder to the User where applicable.
8.9 Products that cannot be resold include:
food or perishable items;
sealed products meant for hygienic purposes, already prepared for delivery;
customized or made-to-order products, as per Article 59 of the Consumer Code.
8.10 In all cases, HAPPY CREW S.R.L. will not be responsible for damage, deterioration, or spoilage of Products not collected on time.
9. RETURNS AND REFUNDS
9.1 Without prejudice to rights of withdrawal and warranty provided by law (Articles 52 and following of the Consumer Code), the User who purchased a Product on the Platform has the right to request a return in the permitted cases and under the following conditions.
9.2 Returns are only allowed in the following cases:
Damaged or non-conforming Product received;
Valid exercise of the right of withdrawal within the legal period;
Product under legal warranty and affected by a defect or fault.
9.3 Returns may be made in one of the following ways, depending on the Product type and User’s location:
1. Ship-side return: if the User is still onboard a ship calling again at the same port where the delivery occurred, the Product may be returned ship-side at no cost, by arranging the date in advance via email: returns@happycrew.it.
2. Return at User’s expense: alternatively, the return may be made at the User’s expense by shipping the Product to the address indicated by HAPPY CREW S.R.L., following the provided instructions and using proper packaging.
9.4 In all cases, Products must be returned intact, clean, with labels, accessories, and original packaging, within 14 days of the return request.
9.5 Once the returned Product has been received and verified for eligibility, HAPPY CREW S.R.L. will refund the paid amount within ten (10) days, using the same payment method used at the time of purchase.
9.6 If the returned Product is found to be damaged or non-compliant with return conditions, HAPPY CREW S.R.L. may withhold a portion of the amount as depreciation or deny the refund, notifying the User in writing.
9.7 Products not eligible for return (per Article 59 of the Consumer Code) include:
food and perishable items, or items subject to change due to improper storage;
customized or clearly personalized Products;
sealed Products not suitable for return for hygienic or health reasons, if opened after delivery;
goods that have been inseparably mixed with other items after delivery;
fully performed services or digital content already started with the User’s consent.

10. PRICES AND PAYMENTS
10.1 All Product prices on the Platform are shown in Euros (€) and include VAT, unless stated otherwise. Final checkout prices include any applicable additional charges.
10.2 In specific cases, for non-EU customers, Products may be purchased using the Tax Free procedure (VAT deductible) as per Article 38-quater of DPR 633/72. Conditions for Tax Free are described in a specific section of these Terms and Conditions.
10.3 The applicable price is the one shown on the Product page at the time the User submits the order, regardless of any subsequent changes.
10.4 Payment can be made via secure and certified external payment gateways, including:
Credit/debit cards (Visa, Mastercard, Maestro, American Express);
PayPal;
Klarna or other deferred payment systems (if available);
Other accepted electronic methods shown at checkout.
All payment data is handled exclusively by payment service providers through secure, encrypted connections. HAPPY CREW S.R.L. does not store or process such data directly.
The User authorizes the payment provider to charge the full amount upon order confirmation.
10.5 If payment is not authorized by the bank or provider, the order will be automatically cancelled, and no contract will be completed.
10.6 HAPPY CREW S.R.L. is not responsible for any delays, errors, or payment refusals due to external gateways or the User’s bank. For payment issues, the User must contact their provider or bank directly.
11. INVOICING: REQUEST, ISSUANCE AND DELIVERY
11.1 The invoice can only be requested at the time of order by selecting the appropriate option and entering the required billing details.
11.2 The invoice is issued by HAPPY CREW S.R.L. in accordance with Italian tax regulations, based on the data provided by the User. A courtesy copy will be sent via email to the address specified in the order.
11.3 The courtesy copy of the invoice will be sent via email within the standard issuance timeframe. The User is responsible for saving it. However, HAPPY CREW S.R.L. retains the invoice digitally as required by law.
11.4 The User guarantees the truthfulness and completeness of the billing data provided and is responsible for any errors or omissions. Incorrect data will result in the inability to correctly issue or deliver the invoice. Once issued, the invoice cannot be modified; any corrections can only be made, where permitted, via credit notes.
11.5 If the User does not select “request invoice” and fill in the required fields during checkout, the invoice cannot be requested after order confirmation.
11.6 Invoice issuance is independent of the payment method used (e.g. card, PayPal, Klarna, bank POS) and is based on the actual amount paid as shown on the order.
11.7 In applicable cases (see section “Purchases with Detax/Tax Free”), invoices and Tax Free documents will be issued based on the data declared by the User (passport, non-EU residence, EU exit port/airport, etc.). The VAT refund will be processed by the affiliated tax refund provider after customs validation of the goods’ exit; any service fees will be deducted based on the provider’s conditions.
12. DETAX / TAX FREE PURCHASES
12.1 Non-EU resident Users may request Tax Free purchases with VAT refund in accordance with Article 38-quater of DPR 633/1972, within the limits and procedures set by Italian and EU laws.
12.2 Detax purchases are only available to Users who meet all the following conditions:
are natural persons domiciled or resident in a non-EU country;
purchase goods for personal or family use (not for business or resale);
purchase goods in a single transaction totaling at least €70.01 (VAT included);
carry the goods outside the EU within the third month following the purchase month;
present the goods to customs at the point of exit to validate the invoice (either paper or digital via OTELLO 2.0 system).
Tax Free is not available for services or digital products.
12.3 To request a Tax Free purchase, the User must:
select “Request Tax Free purchase” during the order process;
enter the required information (name, surname, address, non-EU country of residence, passport number, expected EU exit date, port or airport of departure).
The invoice and tax documentation will be issued by HAPPY CREW S.R.L. and/or the affiliated Tax Free provider, in either electronic or paper form, based on the selected method.
12.4 The User must physically present the goods, invoice, and passport to customs at the point of departure from the EU to obtain the required validation (e.g. at an airport or port).
12.5 VAT refunds may be processed—after customs validation—via one of the following methods offered by the provider:
Credit card or bank account transfer;
Cash at authorized refund desks (where available);
Vouchers or store credits;
Other available electronic methods.
Refunds will be net of the provider’s service fee, which varies depending on the method chosen and will be displayed during selection.
12.6 HAPPY CREW S.R.L. acts solely as a technical and tax intermediary in compliance with applicable regulations and does not guarantee:
successful customs validation;
VAT refund by the Tax Free provider;
accuracy of the data entered by the User or its acceptance by customs authorities.
12.7 In case of missing validation, errors, or irregularities in the documents, VAT will not be refunded, and HAPPY CREW S.R.L. will not be required to provide further documents or assistance.
13. LEGAL WARRANTY OF CONFORMITY
13.1 All Products sold through the Happy Crew Platform are covered by the legal warranty of conformity under Articles 128 and following of the Italian Consumer Code, solely for the benefit of Consumers. This warranty covers any conformity defects present at the time of delivery and arising within two years. The defect must be reported within two months of discovery, or the right to the warranty is forfeited.
A conformity defect occurs when the Product:
is not suitable for its usual or advertised purpose;
does not match the description, sample, or model shown;
lacks the promised or reasonably expected quality or performance;
is missing accessories or instructions.
13.2 To activate the warranty, the User must:
send a written report to HAPPY CREW S.R.L. at: mailbox@happycrew.it;
include the order number, description of the defect, and provide photos or documentation if requested.
HAPPY CREW S.R.L. will forward the report to the Product’s Supplier, who remains directly responsible toward the Consumer under Article 135-novies of the Consumer Code. HAPPY CREW S.R.L. will assist the User in communication but is not directly responsible for Product quality, conformity, or fitness, as it resells goods supplied by third parties.
13.3 If the defect is confirmed, the Consumer is entitled—free of charge—to one of the following remedies (unless impossible or excessively burdensome compared to the other):
repair or replacement within a reasonable time;
alternatively, price reduction or contract termination, where allowed by law.
In case of replacement or refund, HAPPY CREW S.R.L. or the Supplier will provide instructions for return and shipping, at the Supplier’s expense.
13.4 The warranty does not cover:
damage due to misuse or improper use;
normal wear and tear, neglect, or tampering;
visible defects accepted without reservation at delivery (see art. 8);
perishable Products (e.g. food), unless the defect is evident at delivery.
14. ACCOUNT DEACTIVATION AND CLOSURE
14.1 The registered User may deactivate or delete their account at any time:
by accessing their personal area on the Platform (if available), or
by sending a written request via email to: support@happycrew.it.
Account deletion results in the inability to place new orders and the deletion of login credentials. However, legal retention obligations for tax, administrative, or accounting purposes related to completed purchases remain valid.
14.2 HAPPY CREW S.R.L. reserves the right to temporarily suspend or permanently deactivate a User’s account at any time and without notice, in the following cases:
violation of these General Conditions;
unlawful or abusive use of the Platform;
behavior that may harm HAPPY CREW S.R.L., other users, suppliers, or the system;
providing false, untruthful, or fraudulently used data;
use of the account for purposes other than personal, or outside those allowed.
HAPPY CREW S.R.L. may also remove accounts that have been inactive for more than 12 consecutive months without prior notice.
15. INTELLECTUAL PROPERTY AND INDEMNITY
15.1 All content on the Platform—including but not limited to: texts, images, graphics, trademarks, logos, trade names, design, layout, photographs, videos, databases, source codes, software, and any other protected elements—are the exclusive property of HAPPY CREW S.R.L. or its licensed owners, and are protected by current laws on copyright, trademarks, and intellectual and industrial property (Law 633/1941, Industrial Property Code, and EU regulations).
Any reproduction, distribution, modification, translation, transmission, reuse, publication, or use of Platform content is prohibited without prior written consent from HAPPY CREW S.R.L., unless for strictly personal and non-commercial use, within legal limits.
15.2 The User agrees not to commit, directly or indirectly, any act that may infringe the intellectual and/or industrial property rights of HAPPY CREW S.R.L. or third parties. In case of violation (even accidental), the User will be solely responsible for any legal, administrative, or financial consequences.
15.3 The User agrees to indemnify and hold harmless HAPPY CREW S.R.L., its partners, employees, collaborators, and suppliers from any damage, loss, liability, or expense (including legal fees) resulting from:
violations of intellectual property rights committed through the Platform;
unauthorized or unlawful use of content;
publication, upload, or sharing of content by the User that infringes third-party rights.
15.4 HAPPY CREW S.R.L. reserves the right to suspend, limit, or block Platform access, or delete the User’s account, in case of proven or reported violations.
16. LIMITATION OF LIABILITY AND WARRANTY DISCLAIMER
16.1 HAPPY CREW S.R.L. operates the Platform as a technical and commercial intermediary, connecting Users with carefully selected third-party Suppliers.
The User acknowledges that HAPPY CREW S.R.L. is not the producer or manufacturer of the offered Products and cannot be held liable for:
manufacturing defects, non-conformity, or damage from use of third-party Products;
inaccurate or misleading content provided by Suppliers;
Platform malfunctions or delays not directly attributable to HAPPY CREW S.R.L.;
failed deliveries due to User errors (e.g., wrong port, unavailability, failure to collect).
16.2 Except in cases of willful misconduct or gross negligence, HAPPY CREW S.R.L.’s total liability to the User is limited to the amount actually paid for the disputed Product.
16.3 Under no circumstances shall HAPPY CREW S.R.L. be liable for indirect damages, loss of profits, reputation, opportunities, or data.
16.4 The Platform and its services are provided “as is”, without any express or implied warranties of uninterrupted operation, technical compatibility, or fitness for specific purposes.
HAPPY CREW S.R.L. does not guarantee that the Platform:
is always accessible, error-free, or uninterrupted;
is compatible with all devices, browsers, or systems;
contains accurate and up-to-date information at all times.
HAPPY CREW S.R.L. reserves the right to modify, suspend, or discontinue the service at any time, without prior notice, for technical, legal, or operational reasons.
17. FORCE MAJEURE
17.1 HAPPY CREW S.R.L. shall not be held liable for any total or partial failure to perform its obligations under these General Conditions if such failure is caused by force majeure or unforeseeable circumstances beyond its control.
Force majeure includes, by way of example but not limited to:
natural disasters, fires, floods, earthquakes;
pandemics, epidemics, public health emergencies;
acts of war, terrorism, civil unrest, riots;
general or sector-specific strikes, transport or logistics blockages;
power outages, technical failures, server or internet malfunctions not caused by HAPPY CREW S.R.L.;
government orders, customs regulations, or restrictions preventing or limiting commercial activity or deliveries.
17.2 In case of force majeure, HAPPY CREW S.R.L. reserves the right to temporarily or permanently suspend service, cancel pending orders, or change delivery times, even without notice, without entitling the User to any compensation.
17.3 Whenever possible, HAPPY CREW S.R.L. will promptly inform the User of the situation and propose alternatives, including reimbursement of any amounts already paid, where applicable.
18. LINKS TO THIRD-PARTY SITES
18.1 The Happy Crew Platform may contain links to third-party websites, platforms, or applications, including integrated operational sections (e.g. payment, tracking, tax refunds).
18.2 HAPPY CREW S.R.L. has no control over such third-party sites and is not responsible for:
their content;
the accuracy of the information;
service availability;
data security or handling by such parties.
18.3 Services offered through external sites are governed by the contractual terms and privacy policies of their respective providers, which Users must consult before use.
18.4 The presence of external links on the Platform does not imply any endorsement or recommendation by HAPPY CREW S.R.L. regarding their content, products, or services.
19. PRIVACY AND PERSONAL DATA PROTECTION
19.1 HAPPY CREW S.R.L., as the data controller, informs Users that any data provided during navigation and use of the Platform will be processed in accordance with Regulation (EU) 2016/679 (GDPR), Italian Legislative Decree 196/2003 (Privacy Code), and current data protection laws.
19.2 Data is processed for the following purposes:
account registration and management;
order and delivery management;
invoicing and tax compliance;
customer support and operational communications;
compliance with legal obligations.
19.3 Personal data is processed lawfully, fairly, and transparently, based on principles of data minimization, security, and storage limitation.

20. APPLICABLE LAW AND JURISDICTION
20.1 These General Conditions and any contracts concluded via the Happy Crew Platform are governed by Italian law, excluding any other jurisdiction.
20.2 All contracts are deemed concluded in Italy, with delivery occurring at Italian ports indicated during the order process.
20.3 Without prejudice to mandatory consumer protections under EU law, any dispute regarding interpretation, validity, performance, or termination of the contract shall fall under the exclusive jurisdiction of the Court of Messina (Italy).
20.4 Alternatively, EU-based Consumers may access the European Online Dispute Resolution (ODR) platform at:

The platform is managed by the European Commission and allows for out-of-court resolution of online contractual disputes.
